Investment in Allied World Transaction with Fairfax
OMERS Capital Markets sought the approval of the Investment Committee to proceed with the acquisition of up to a 21% interest in Allied World Assurance Company Holdings, AG (“Allied World”) for USD$1 billion simultaneously with the previously announced acquisition of Allied World by Fairfax Financial Holdings Limited. Allied World is an insurance holding company focused on specialty insurance and reinsurance.
Following questions and discussion, the Investment Committee approved the transaction. OMERS announced the investment in Allied World in a press release issued January 27, 2017.
Investment in Thames Water
Borealis sought the approval of the Investment Committee to acquire an interest in Thames Water Utilities Limited (“Thames Water”), the largest monopoly provider of essential water and sewerage services in the UK, alongside Wren House Infrastructure Management Limited (“Wren House”).
Following a presentation and question/discussion period, the Investment Committee approved the acquisition.
In a press release issued March 14, 2017, OMERS and Borealis announced the acquisition alongside Wren House of a 26% stake in Kemble Water Holdings Limited, the ultimate holding company of Thames Water, from Macquarie Infrastructure & Real Assets.
The Investment Committee also considered several additional pending investment transactions; however, due to legal and contractual reasons, the decisions are required to be kept confidential.
